Electronic Record Notice:
This document constitutes an electronic record pursuant to the Information Technology Act, 2000, and the relevant rules framed thereunder, along with the applicable provisions regarding electronic records in various laws as amended by the Information Technology Act, 2000.

Introduction

Red Bike Taxi Services Pvt. Ltd. (“Red Bike Taxi”/ “Company”/ “us”/ “we”/ “our”) provides technology-based platform, as Software-as-a-Service (“SAAS”), and acts as a discovery platform for enabling lead generation for Pilots, who shall offer ride services directly to the Pilot’s Customers (defined below) through two-wheelers("Bike"),three-wheelers (“Auto”) and four-wheelers (“Cab”) (collectively “Vehicle(s)”), and other platform-based support services, as SAAS, as offered by Red Bike Taxi from time to time by means of the Company’s website and the mobile application “Red Bike Taxi App” (collectively, “SAAS Platform”).

  • 1. On-demand two-wheeler, three-wheelers and four-wheelers transportation services (“Bikes”, "Auto" or "Cab") (hereinafter, “Transportation Services”)
  • 2. Pickup and delivery of parcels between locations via Pilots (as defined below) (hereinafter, “Package Services”)

Collectively, the Transportation Services and Package Services are referred to as the “Services”. These offerings, along with associated services such as payment processing, are made available through our official website and the mobile application "Red Bike Taxi" (together referred to as the “Platform”).

The Services are delivered by independent third-party riders, operators, or service providers who choose to render such Services via the Platform (referred to as “Pilot(s)” or “you”).

Based on the representations and warranties provided by you, the Company agrees to list your vehicle on the Platform and authorizes you to render the Services in accordance with these Terms and Conditions (“T&Cs”), as well as any other related policy, contract, or documentation that you may execute in connection with the provision of Services. These T&Cs govern your relationship with the Company during your use of the Platform and while delivering the Services.

By registering or signing up on the Platform and agreeing to provide one or more Services, you affirm that you have read, understood, and accepted these T&Cs in full. If you do not agree with the terms stated herein, you must not register, sign up, or provide any Services on the Platform.

Access to and use of the Platform is conditional upon your complete acceptance of these T&Cs, including any amendments made and published on the Platform at the sole discretion of the Company.

These Terms and Conditions supersede all prior agreements or understandings between you and the Company.

I. GENERAL COVENANTS

In using the Platform to provide the Services, you represent, warrant, and agree to the following:

  • You are at least 18 years of age at the time of registration or account creation on the Platform.
  • You are not legally barred or restricted by any statute, regulation, court, or administrative authority from accessing the Platform or providing the Services, including entering into the types of transactions facilitated through the Platform.
  • You shall provide the Services in accordance with these T&Cs and in full compliance with all applicable laws and regulations.
  • By using the Platform and agreeing to offer the Services, you authorize Red Bike Taxi — either directly or through third-party agents — to verify your identity, which may include police verification or background checks, in accordance with our Privacy Policy. We encourage you to review our Privacy Policy to understand how your personal and sensitive information (“Information”) is collected, processed, and handled.
  • You agree to submit only accurate, complete, current, and truthful Information. You understand that it is solely your responsibility to ensure that all personal details (including your contact details and bank account information) are entered correctly. The Company will not be liable for verifying the accuracy of the Information you provide.
  • These T&Cs constitute valid and enforceable legal obligations that bind you throughout your engagement with the Company and usage of the Platform.

II. REGISTRATION AND USE OF THE PLATFORM

To provide Services through the Platform, you must meet the onboarding requirements and submit the necessary documentation as requested by Red Bike Taxi in accordance with applicable laws and internal policies. Specifically, you represent, warrant, and agree that:

  • You possess a minimum of two (2) years of driving experience.
  • There are no ongoing legal proceedings against you, nor have you been convicted in the past three years for:
    • (a) driving under the influence of alcohol or drugs;
    • (b) any cognizable offence under the Code of Criminal Procedure, 1973, such as fraud, sexual offences, criminal use of a motor vehicle, property-related crimes, acts of violence, or terrorism.
  • You have resolved all traffic fines or challenges related to your vehicle before joining the Platform.

Creating an account (“Your Account”) on the Platform is mandatory. You must provide accurate and up-to-date information during the registration process.

We may request additional documents or verification steps to confirm your identity. This may include validating your email address, financial details, or conducting third-party checks. If we are unable to verify your identity or information, we reserve the right to suspend, restrict, or terminate your access to the Platform.

It is solely your responsibility to safeguard your login credentials (username, password, etc.). Red Bike Taxi is not liable for any misuse of your account due to loss or sharing of these credentials.

You accept full accountability for all actions taken through Your Account. You also agree to implement secure password practices and maintain confidentiality to prevent unauthorized access.

If you suspect that your login credentials have been compromised, or believe someone else might misuse your account, you must immediately inform Red Bike Taxi.

We are not responsible for any unauthorized activity on Your Account arising from your failure to maintain the security of your login details.

The Company will route booking requests (“Service Requests”) made by customers through the Platform. You are not permitted to accept rides via street-hailing or by any other means outside the Platform.

Red Bike Taxi reserves the right to modify or discontinue existing Service Request mechanisms or introduce new ones.

For Package Services, Pilots must never open, tamper with, or damage any packages unless explicitly authorized during the course of providing the Services.

Calls between Pilots and customers may be monitored or recorded by Red Bike Taxi for training, quality control, and customer service improvement purposes. By using the Platform, you consent to such monitoring.

We are not liable if you download an incorrect or incompatible version of the Red Bike Taxi mobile application.

You agree that Red Bike Taxi may contact you through electronic messages (such as push notifications), phone calls, WhatsApp, email, or other communication methods related to your use of the Platform or the Services.

III. Pilot's Conducts

As a Pilot, you are expected to maintain professional behavior at all times. The following guidelines must be observed:

  • You must not reject customer Service Requests unless absolutely necessary or under special circumstances deemed valid by Red Bike Taxi. Frequent or repeated refusals may result in account suspension or permanent deactivation.
  • You must refrain from any actions that could harm Red Bike Taxi’s reputation and ensure compliance with all applicable laws in India.

Regarding your conduct on the Platform, you agree that you will not:

  • Allow another person to use your account or vehicle for Platform-related Services.
  • Transfer or assign your account to anyone else.
  • Use the Platform for illegal or fraudulent purposes, including sending or storing unlawful content.
  • Engage in behavior that causes disruption, irritation, or inconvenience to customers, Red Bike Taxi, or others.
  • Consume alcohol, drugs, or be under the influence of intoxicants before or while delivering Services. Red Bike Taxi enforces a zero-tolerance policy for substance use, and any reported violations will lead to immediate investigation and possible account suspension or termination.
  • Use any software, files, or devices that interfere with the Platform’s functionality, including viruses, malware, or tools meant to manipulate or disrupt its operations.
  • Engage in activities that place excessive burden on the Platform’s infrastructure, including spam or denial-of-service attacks.
  • Attempt to damage or compromise the Platform in any way.
  • Copy, share, or distribute Platform content without prior written approval from Red Bike Taxi.
  • Operate the Platform using unauthorized or incompatible devices.

Furthermore, you must not upload or share content that:

  • Belongs to another person without authorization.
  • Is obscene, offensive, harassing, sexually explicit, discriminatory, or promotes illegal activities like gambling or money laundering.
  • Infringes upon intellectual property rights.
  • Endangers minors or violates child protection laws.
  • Contains commercial promotions or advertisements.
  • Spreads false, misleading, or unverified information.
  • Impersonates another individual.
  • Contains malicious software or code.
  • Threatens national unity, public order, or international relations.
  • Promotes unregulated or unsafe online games.
  • Violates any applicable law in force.

Red Bike Taxi reserves the right to immediately suspend or terminate your account for any breach of these rules.

Additional operational requirements include:

  • You may not work on the Platform for more than 12 hours per day, and a mandatory 10-hour rest period must be observed before resuming Services.
  • You must submit personal identification documents for police verification or background screening, either directly or through Red Bike Taxi’s appointed third parties.
  • You are required to complete a 30-hour induction training program before becoming active on the Platform, and you agree to participate in periodic refresher training as mandated by law or the Company.
  • You must undergo a comprehensive medical examination, including vision testing, at a facility designated by Red Bike Taxi. The cost of this examination will be borne by the Company.
  • Red Bike Taxi personnel may conduct random inspections of your Bike to ensure compliance with these Terms and all applicable legal standards.

IV. PAYMENT TERMS

Red Bike Taxi reserves the right to impose fees on Pilots, as may be revised and published on the Platform periodically, and such fees shall be subject to applicable taxation.

To facilitate customer access to the Services via the Platform, the Company collects a convenience fee.

Pilots grant Red Bike Taxi the authority to receive the service or travel fare (“Fare”) from customers on their behalf.

In situations where the Pilot collects the Fare directly in cash from the customer, the portion of the Fare that constitutes the Company’s convenience fee—charged for offering the Platform and related services—will be deducted from the amount payable by Red Bike Taxi to the Pilot during settlement.

V. REPRESENTATIONS, WARRANTIES, AND UNDERTAKINGS

General Representations by the Pilot and the Company:

  • Both the Pilot and Red Bike Taxi affirm that they possess the full legal authority and capacity to fulfill their respective responsibilities outlined in these Terms.
  • The execution and delivery of obligations under these Terms do not contravene or conflict with any prevailing laws, regulations, contracts, judicial rulings, or orders applicable to either party.
  • Neither the Pilot nor the Company has been found guilty by any court in India or abroad for any criminal offense, including those involving moral misconduct.

Specific Representations and Commitments by the Pilot:

  • The Pilot affirms they have valid authorization to operate the Vehicle and there are no legal or contractual restrictions that would interfere with their ability to provide Services through the Platform.
  • All relevant licenses, permissions, and approvals required under current laws for offering the Services have been obtained and will be kept up to date.
  • The Pilot remains compliant with the Motor Vehicles Act, 1988, the Food Safety and Standards Act, 2006, and any other applicable rules or statutes.
  • At the time of joining the Platform, the Pilot confirms they have not been convicted in the preceding three years for driving under the influence of alcohol or drugs, or for any criminal offense under the Code of Criminal Procedure, 1973 or the Indian Penal Code, 1860, including crimes such as fraud, sexual misconduct, violent acts, property damage, or terrorism-related activities.
  • The Pilot agrees to maintain valid driving licenses, insurance documents, vehicle fitness certificates, and other statutory permits required to legally operate the Vehicle.
  • During the provision of Services, the Pilot will obey all traffic laws, avoid reckless driving, refrain from consuming alcohol, tobacco, or any intoxicants, and will always carry valid registration and insurance documents.
  • Except in emergencies, personal calls will not be made while operating the Vehicle. Calls from customers or Red Bike Taxi will only be answered after safely stopping at an appropriate location.
  • The Pilot pledges to deliver Services in a courteous, respectful, and professional manner, adhering to the standards expected in the industry.
  • Proper grooming, hygiene, and attire will be maintained at all times while performing duties.
  • The Pilot will carry out Services diligently and professionally, with reasonable care, competence, and punctuality.
  • The Pilot agrees to follow all guidelines, instructions, and standard operating procedures issued by the Company from time to time.
  • The Pilot must not transport or carry any weapons, explosives, or hazardous materials while providing Services.
  • Demanding extra payment or gratuities from customers beyond the agreed fare is strictly prohibited.
  • The Pilot agrees not to engage in fraudulent practices, including but not limited to:
    • Providing false information;
    • Accepting service requests with no intention of fulfilling them;
    • Manipulating the trip time, distance, or customer behavior to create cancellation scenarios;
    • Falsifying documents or records;
    • Misrepresenting deliveries or retaining undelivered items;
    • Tampering with the app or phone settings to disrupt Platform operations;
    • Creating multiple unauthorized accounts.
  • No more than one pillion rider will be permitted on the Bike at any time.
  • The Pilot guarantees the Vehicle has a valid fitness certificate, pollution certificate, and appropriate permits in accordance with applicable law.
  • Road safety norms, traffic signals, speed limits, and all relevant transportation laws will be strictly followed.
  • Deliveries and pickups will be completed efficiently, with sincere efforts to meet the expected timelines.
  • Package integrity and safety will be preserved throughout the delivery process.
  • If any prohibited, illegal, or suspicious item is found or suspected in a delivery request, the Pilot must immediately report the matter to Red Bike Taxi.
  • The Pilot affirms that their gross income does not exceed ₹20,00,000 (Twenty Lakhs) in any given financial year and confirms they are not registered under GST.
  • If the Pilot’s earnings approach or exceed the ₹20,00,000 threshold, they will promptly notify the Company.

VI. NATURE OF RELATIONSHIP

The Pilot shall operate in the capacity of an independent contractor. The relationship between Red Bike Taxi and the Pilot is based on a principal-to-principal model. Both parties acknowledge that they are separate and independent legal entities. These Terms and Conditions do not, in any way, establish or imply a partnership, joint venture, consortium, agency (whether disclosed or undisclosed), franchise arrangement, sales representation, or employment relationship. It is expressly clarified that the Pilot has no authority to represent or bind the Company in any contractual or legal capacity or to enter into agreements on behalf of the Company.

VII. INFORMATION RELATED TO THE PILOT

Red Bike Taxi may request and gather personal and professional details (“Pilot Information”) from Pilots during their onboarding process and at other relevant times, to confirm their identity. This information may be used, stored, processed, and accessed by the Company for purposes such as background verification, identity confirmation, business operations, performance analysis, marketing, service improvement, product development, and research—consistent with our Privacy Policy and applicable law. By signing up to the Platform, you explicitly agree to the collection and utilization of such data.

In compliance with legal requirements, Red Bike Taxi may share Pilot Information with relevant third parties, government bodies, or judicial authorities if a complaint, dispute, or incident arises, including any event involving a customer or third party.

“Pilot Information” includes, but is not limited to:

  • Identification details such as KYC documents
  • Vehicle registration certificates
  • Insurance papers
  • Driving license
  • Mobile number
  • Bank account information
  • Proof of residence
  • Self-photographs (selfies)
  • GPS/location data
  • Any documents proving ownership of the vehicle used for Services

VIII. CONFIDENTIALITY OBLIGATIONS

Pilots are required to treat all data and information obtained through the Platform as strictly confidential. This includes customer data, business insights, documentation, and any other proprietary content. Such information must not be disclosed, shared, or sold to any third party, unless explicitly authorized by Red Bike Taxi. All customer-related information remains the sole property of the Company and is to be used exclusively for the purpose of delivering the agreed Services.

Confidential information refers to all non-public data disclosed by Red Bike Taxi or its affiliates that is either labeled as confidential or should reasonably be understood to be confidential by its nature or context. This includes, but is not limited to:

  • Information related to services and the Platform;
  • Technical and commercial data such as software, systems, financials, business strategies, and marketing plans;
  • Customer and vendor information obtained through the course of business;
  • Discussions or communications held between the Pilot and the Company or its affiliates;
  • Any other sensitive information, regardless of format, that should reasonably remain private.

Pilots must uphold the confidentiality of such information even after termination of the agreement.

IX. INTELLECTUAL PROPERTY OWNERSHIP

Red Bike Taxi retains exclusive ownership and licensing rights over all components of the Platform and related digital content. This includes, but is not limited to, the design, structure, layout, graphics, audio-visual elements, and any other proprietary digital assets hosted or displayed on the Platform, which are protected under global copyright and intellectual property laws. All intellectual property, unless otherwise attributed (such as third-party links), remains the property of Red Bike Taxi or its licensors, representatives, or affiliates.

“Intellectual Property Rights” refers to rights such as:

  • Patent and utility model rights,
  • Copyrights and database rights (including moral rights),
  • Trademarks, trade names, brand identifiers, and associated goodwill,
  • Trade secrets, and
  • Industrial design rights,
  • along with any global registrations, applications, renewals, or extensions associated with them.

Unless explicitly stated, no rights are granted to Pilots beyond what is outlined in these Terms. Content on the Platform is made available solely for informational purposes and personal reference, with full responsibility resting on the user.

Red Bike Taxi's logos, symbols, and other brand elements are protected trademarks and must not be copied, altered, or repurposed in any manner without formal authorization.

As long as the Pilot complies with these Terms, the Company grants a limited, revocable, non-transferable license to download and use the Red Bike Taxi mobile app on one personally owned device, strictly for delivering services as defined herein.

Regarding Pilot data: Red Bike Taxi acknowledges that Pilots retain ownership over any personal information or data (“Your Information”) they provide via the Platform. This includes inputted content, identifiers, and legally protected intellectual property. However, by using the Platform, the Pilot grants Red Bike Taxi a global, royalty-free, and non-exclusive license to use this data to operate, enhance, and manage the Platform. Additionally, Red Bike Taxi is permitted to use non-identifiable parts of this data for statistical and analytical reporting (“Aggregated Statistics”) in compliance with applicable law.

Pilots are strictly prohibited from:

  • Licensing, selling, or transferring access to the Platform to others;
  • Creating derivative applications or services based on the Platform;
  • Replicating or embedding the Platform’s interface on other websites or devices;
  • Reverse-engineering or replicating any aspect of the Platform or its functionality;
  • Running any automated systems (like bots or spiders) that overload or disrupt service performance.

X. INDEMNIFICATION

Pilots agree to indemnify and protect Red Bike Taxi, along with its affiliates, representatives, and employees, from any and all claims, legal actions, losses, or expenses that arise due to the Pilot's violation of these Terms or of applicable laws. This includes damages or penalties resulting from inaccuracies, misconduct, or breach of obligations.

Red Bike Taxi reserves the right, at its own discretion and cost to you, to assume exclusive control over the defense or settlement of any claim falling under this indemnity. You are expected to fully cooperate in such cases. While Pilots may seek independent legal representation at their own expense, Red Bike Taxi retains full authority over settlement and defense strategies.

XI. DISCLAIMERS

Red Bike Taxi does not guarantee the flawless operation, accuracy, or availability of the Platform or services. The Company makes no promises about system performance, security, compatibility with other devices or software, or fitness for a specific use. Services and data are offered strictly "as is."

No warranties—whether express or implied—such as those related to merchantability or non-infringement, are provided. Users acknowledge and accept full risk related to using the Platform.

Operational interruptions may occur due to:

  • Device or network errors,
  • Server overload,
  • Software glitches or configuration issues,
  • Environmental or natural disasters,
  • Regulatory restrictions or acts of government,
  • Other unpredictable or uncontrollable circumstances.

Red Bike Taxi disclaims responsibility for such disruptions and is not liable for any consequences arising from them.

XII. LIMITATION OF LIABILITY

To the extent permitted by law, Red Bike Taxi assumes no responsibility for any damages—civil, criminal, or otherwise—that may result from the use of the Platform or from the Pilot’s failure to comply with traffic or legal regulations. The Company is not responsible for the behavior or conduct of Pilots or the quality of the vehicles used.

Red Bike Taxi also disclaims liability for any content, offers, or advertisements appearing on the Platform and will not be responsible for product or service quality from third-party sources.

UNDER NO CIRCUMSTANCES SHALL RED BIKE TAXI BE LIABLE FOR INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES. FURTHER, THE TOTAL LIABILITY OF RED BIKE TAXI UNDER THESE TERMS WILL NOT EXCEED INR 1000.

XIII. TERMINATION

The Company has the right to immediately revoke access to the Platform and terminate these Terms at its discretion if the Pilot:

  • Breaches any provision in this agreement,
  • Abuses the Platform,
  • Fails to meet legal or operational requirements,
  • Provides false or unverifiable information,
  • Poses any risk—legal, operational, or reputational—to the Company.

Misconduct that may warrant termination includes, but is not limited to:

  • Abusive behavior toward staff or customers,
  • Criminal acts or fraud,
  • Neglecting duties or abandoning assigned deliveries,
  • Publicly damaging the Company’s image or confidential data,
  • Use of intoxicating substances while working,
  • Repeated violations of service quality guidelines,
  • Negative findings during a background check.

The Company may terminate without prior notice in these situations.
Termination may also occur mutually with 7 days’ written notice from either party.

Upon termination:

  • Platform access is revoked;
  • Red Bike Taxi will settle payments after adjusting any dues;
  • Company property and data must be returned;
  • The Pilot must cease presenting themselves as a Red Bike Taxi service provider.

Legal action may be taken in cases of fraud or criminal violations.

XIV. LEGAL JURISDICTION AND DISPUTE RESOLUTION

These Terms will be interpreted in accordance with Indian law.

Any disputes must first be resolved through mutual discussions. If unresolved within 15 days, the matter shall be settled through arbitration under the Arbitration and Conciliation Act, 1996.

  • Arbitration shall be conducted by one arbitrator, mutually chosen by both parties.
  • Proceedings shall take place in Guwahati and be conducted in English and Assamese.
  • The arbitration decision will be final and binding on both parties.
  • All legal proceedings will fall under the jurisdiction of courts in Guwahati, India.

XV. TRANSFER OF RIGHTS AND OBLIGATIONS

Pilots are not allowed to transfer or assign any of their rights, responsibilities, or obligations under these Terms and Conditions to any other party without receiving prior written approval from Red Bike Taxi.

On the other hand, Red Bike Taxi reserves the right to transfer or assign its rights and duties—partially or entirely—to any affiliated company or third party, at its sole discretion, without needing the Pilot’s consent.

XVI. POLICY MODIFICATIONS

Red Bike Taxi retains the exclusive right to modify or update these Terms and Conditions at any time, as needed. In the case of significant revisions, Red Bike Taxi will make a reasonable effort to notify Pilots of the changes. However, it is your duty to periodically review the Platform for the latest version of these Terms.

Once changes are published on the Platform, they take effect immediately. Continued use of the Platform or provision of Services thereafter will be interpreted as your acceptance of the revised Terms.

XVII. VALIDITY OF TERMS

If any provision within these Terms, or a portion of it, is found to be unlawful, unenforceable, or invalid under Indian law, that specific clause will be considered severable and will not affect the validity of the remaining clauses. The remainder of these Terms will remain fully enforceable as though the severed provision had never been included.

XVIII. INSURANCE COVERAGE

At its discretion, Red Bike Taxi may offer accident insurance coverage to Pilots during active service periods through the Platform. If any payout is made under such a policy, Red Bike Taxi may recover the relevant amount from the Pilot, depending on the circumstances of the incident.

XIX. OFFICIAL COMMUNICATIONS

Red Bike Taxi may issue notices via:

  • Public announcements on the Platform,
  • Email to the address listed in your account, or
  • Physical mail sent to your registered postal address.
